Ryan M. Mead is a partner at Hinman, Howard and Kattell and a member of the Business and Corporate Law, Trusts, Estates and Wealth Planning, Taxation, and Not for Profit Corporation and Foundation Practice Groups. Mr. Mead concentrates his practice in business and corporate law, representing clients in all aspects of their business. Mr. Mead consults with clients on choosing the right type of entity to utilize, including for profit corporations, limited liability companies, limited partnerships or not-for-profit corporations. Mr. Mead advises clients with their day to day business operations including contract negotiations, management issues, and federal and state tax compliance. Mr. Mead has experience with business succession planning, including mergers and acquisitions, asset purchase agreements, stock purchases or redemptions, buy-sell equity agreements and entity dissolutions. Mr. Mead has been involved with technical legal matters including state blue sky law compliance, federal Exon-Florio/CIFUS disclosures, and Delaware Series LLCs. Mr. Mead has represented clients in proceedings at the United States Tax Court and the New York State Division of Tax Appeals.
In addition to his corporate practice, Mr. Mead counsels clients on all aspects of estate planning, taking into consideration current estate and gift tax laws. Mr. Mead has experience in drafting wills, powers of attorney, health care proxies, trusts and family limited partnerships. Mr. Mead advises clients on the legal aspects related to natural gas leasing and has experience in properly planning for natural gas lease liabilities, succession and tax effects of bonuses and royalties. Mr. Mead has experience in representing clients in all types of New York State Surrogates Court proceedings.
Mr. Mead is a regular lecturer and presenter on the following topics: corporate/business law, strategy and compliance; personal estate, trust and tax planning; oil and gas law; and not for profit charities law and compliance.
Mr. Mead received his J.D. / M.B.A. dual degree from the University at Buffalo Law School and School of Management in 2007. Mr. Mead is admitted to practice before all New York State Courts, all New Jersey State Courts, all Pennsylvania State Courts, the United States Tax Court, the Federal District Court for the Northern District of New York and the Federal District Court for the District of New Jersey.
A native of Endicott NY, Mr. Mead is very active in the Southern Tier community. He serves as a volunteer on the board of directors for the Baden Powell Council of Boy Scouts of America, Good Shepherd Village at Endwell, and the Broome County Bar Association. He is a volunteer co-chair of the Dick’s Sporting Goods Open concessions committee (formerly the B.C. Open).
In his free time, Mr. Mead enjoys fly fishing, golf, bowling and skiing.
